EULA - End User License Agreement

CUSTOMERREACH CORPORATION
LICENSE AGREEMENT

YOU AGREE THAT YOUR USE OF CUSTOMERREACH (THE "SOFTWARE") ACKNOWLEDGES THAT YOU HAVE READ THIS LICENSE, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.

A limited, revocable, nonexclusive license is granted to use the Software subject to the following conditions:

I. The Software may not be distributed in conjunction with any other product without a specific license to do so from CustomerReach Corporation.

II. The Software may not be modified in any way.

III. You may not reverse engineer, decompile, or disassemble the Software, except and only to the extent that such activity is permitted by applicable law notwithstanding this limitation.

IV. You may not redistribute, sell, rent, lease or sublicense the Software.

LIMITATION OF LIABILITY

THE SOFTWARE IS PROVIDED "AS IS" AND THERE ARE NO WARRANTIES. CUSTOMERREACH CORPORATION DISCLAIMS ALL WARRANTIES RELATING TO THE SOFTWARE, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. NEITHER CUSTOMERREACH CORPORATION NOR ANYONE ELSE WHO HAS BEEN INVOLVED IN THE CREATION, PRODUCTION, OR DELIVERY OF THE SOFTWARE SHALL BE LIABLE FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, OR INCIDENTAL DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE EVEN IF CUSTOMERREACH CORPORATION HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR CLAIMS. IN NO EVENT SHALL CUSTOMERREACH CORPORATION'S LIABILITY FOR ANY DAMAGES EVER EXCEED THE PRICE PAID FOR THE LICENSE TO USE THE SOFTWARE, REGARDLESS OF THE FORM OF CLAIM. THE PERSON USING THE SOFTWARE BEARS ALL RISK AS TO THE QUALITY AND PERFORMANCE OF THE SOFTWARE. SOME STATES DO NOT ALLOW THE EXCLUSION OF THE LIMIT OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION MIGHT NOT APPLY TO YOU.

MISCELLANEOUS

This agreement is governed by the laws of the state of Florida, U.S.A. and shall inure to the benefit of CustomerReach Corporation and any successors, administrators, heirs and assigns.
